Sample Market Studio – Terms and Conditions

Welcome to Sample Market Studio (“we,” “our,” or “us”), a brand operated by Sample Market Ltd. These Terms and Conditions (“Terms”) govern your access to and use of our website, subscription services, and digital content — including tutorials, samples, project files, presets, and other downloadable materials (collectively, the “Service”). By subscribing to or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Subscription and Access

1.1 Subscription Plans

We offer paid subscription plans that grant access to:

Streaming tutorials (view-only; not downloadable);
Exclusive downloads such as project files, samples, presets, and other digital assets (“Downloads”).

1.2 Account Creation

You must create an account to subscribe. You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.

1.3 Billing, Payment, and Renewal

When you purchase a subscription, you will be asked to confirm that it should begin immediately by clicking “Pay Now.” By doing so, you acknowledge that access will start right away and you waive your right to cancel.
Subscription fees are billed on a recurring basis (e.g., monthly, quarterly, or annually) as per your selected plan. By subscribing, you authorize Sample Market Ltd (“the Company”) to automatically charge your payment method through our payment partner, Stripe, at the beginning of each billing period until you cancel.
All fees include applicable taxes unless otherwise stated. You are responsible for any other taxes or duties that may apply.
Your subscription will continue for at least the minimum period stated in your plan (“Minimum Period”) and will automatically renew for successive Renewal Periods, unless cancelled before the renewal date via your account settings.
Subscription fees are final and non-refundable.
If a payment fails (e.g., expired card, insufficient funds), the Company may suspend or cancel your subscription without prior notice.
You are responsible for ensuring your payment details are accurate and funds are available.
If your subscription is cancelled — either by you or the Company — you will lose access to all subscriber-exclusive content. If you cancel, access will remain available until the end of the current billing period. To regain access later, you must re-subscribe.

2. Use of Content

2.1 Streaming Tutorials

Tutorial videos are available for online streaming only. Downloading, copying, recording, or redistributing these videos is strictly prohibited.

2.2 Exclusive Downloads

Downloads are available exclusively to active subscribers and intended for personal use only, unless otherwise stated. You may not resell, distribute, sublicense, or share any downloaded materials publicly or privately.

Each download requires one (1) credit. Your active subscription includes three (3) credits per month, usable for exclusive downloadable content. Unused credits roll over to the next month as long as your subscription remains active. Once a credit is used for a download, that transaction is final — no refunds, replacements, or reinstated credits are available.

3. Prohibited Conduct

Copy, record, or redistribute streaming tutorials;
Share your account credentials or subscription access;
Sell, resell, sublicense, or redistribute downloads or materials;
Reverse-engineer, modify, or interfere with the Service;
Use the Service for unlawful, infringing, or harmful purposes.

Any breach may result in immediate account termination without refund.

4. Intellectual Property Rights

All trademarks, trade names, and logos associated with Sample Market Studio are owned by Sample Market Ltd. All videos, downloads, and materials remain the intellectual property of Sample Market Ltd or its licensors. No part of the Service may be copied, reproduced, or exploited without prior written permission.

5. Content Licence Agreement

5.1 Ownership and Licensing

All downloadable and streamed content (“Digital Content”) remains the property of Sample Market Ltd and/or its licensors (“Licensor”). The Digital Content is licensed, not sold, to you (“Licensee”). All rights not expressly granted are reserved. Sample Market Ltd may revoke any licence granted if these Terms or the Licence Agreement are breached.

(A) Sample Libraries and FX (“Sounds”)

You may use the Sounds within music productions (e.g., songs, films, games, podcasts, etc.).
You may edit, process, or modify the Sounds for commercial use only as part of a finished composition.
You may not use the Sounds in isolation or as part of any competitive or redistributable product.
The licence is non-transferable and exclusive to you.
Resale, sublicensing, sharing, or redistribution of the Sounds is strictly prohibited.

(B) Tutorials

You may access Tutorials for personal, educational, and non-commercial use only.
This licence is personal and non-transferable.
You may not resell, relicense, share, or distribute Tutorial content.

(C) Presets, Templates, and Project Files (“Tools”)

You may use the Tools with compatible software to create original musical works.
The licence is non-exclusive, personal, and non-transferable.
You may not resell, relicense, share, or distribute the Tools or any derivative works.

(D) Exclusive Tracks

You may play tracks from Sample Market’s exclusive compilations in your DJ sets. However, these tracks cannot be released, distributed, or published commercially or publicly under your name or any other.
You may not claim authorship or ownership of any track or project derived primarily from Sample Market Studio content.
Any public release or sale of music containing unaltered or substantially recognizable Sample Market Studio content is strictly prohibited.

6. Termination of Access

We may suspend or terminate your access at any time if you breach these Terms. Upon termination, your right to use the Service and access any materials will cease immediately.

7. Disclaimer and Limitation of Liability

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied. We do not guarantee uninterrupted access or error-free performance. To the fullest extent permitted by law, Sample Market Ltd shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of the Service.

8. Changes to the Service or Terms

We may update, modify, or discontinue any aspect of the Service at any time. Revised Terms will be posted on our website, and continued use of the Service after updates constitutes your acceptance of the new Terms.

9. Governing Law

These Terms and all related agreements are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
